TERMS & CONDITIONS OF SALE

Terms & Conditions govern the sale of foals and implanted embryos offered through the Boleybawn Online Foal Auction 2026 (the “Auction”). By registering to bid, placing a bid, or purchasing a Lot, a bidder/buyer acknowledges that they have read, understood and agreed to these Terms & Conditions.

• DEFINITIONS
• “Auction” means the Boleybawn Online Foal Auction 2026.
• “Lot” means any foal, embryo or other horse-related offering listed for sale in the Auction.
• “Buyer” means the successful bidder whose bid is accepted at the close of the Auction.
• “Seller” means Boleybawn Horses and/or the owner or seller identified for the relevant Lot.
• “Implanted Embryo” means an embryo offered for sale which has been implanted into a surrogate mare.
• AUCTION PROCESS
• The Auction will be conducted online through the Boleybawn auction platform during the period advertised for the Auction.
• Each Lot will be offered subject to the Auction rules and the information displayed on the individual Lot page.
• The highest valid bid at the close of the Auction will constitute the purchase price, subject to confirmation by Boleybawn Horses where applicable.
• Bids are binding. A bidder should not place a bid unless they are prepared and authorised to complete the purchase if their bid is successful.
• Boleybawn Horses reserves the right, where reasonably necessary, to withdraw a Lot, correct an obvious error in a Lot description, or refuse/cancel a transaction affected by a manifest error, suspected fraud or technical malfunction.
• BUYER’S COMMISSION
• A buyer’s commission of 5% will be added to the successful purchase price of each Lot.
• The Buyer is responsible for payment of the purchase price together with the applicable buyer’s commission and any applicable VAT or other charges expressly stated in these Terms & Conditions.
• VAT
• All Lots are subject to VAT at 13.5%, unless a different rate or zero-rating applies under Irish VAT law.
• For buyers established outside the European Union, the sale may be zero-rated for VAT where the applicable legal conditions for export are satisfied and the required export documentation is provided.
• For buyers established within the European Union but outside the Republic of Ireland, the sale may be zero-rated where the Buyer provides a valid VAT identification number and all conditions for an intra-Community supply are satisfied.
• Where a horse qualifies for the livestock rate because it is normally intended for use in agricultural production or in the preparation of foodstuffs, the applicable livestock VAT rate is 4.8%. Revenue guidance confirms that the livestock rate applies to horses normally intended for agricultural production, including a live horse supplied to a farmer, subject to the required conditions and documentation.
• The Buyer is responsible for providing accurate VAT and tax information and for complying with any documentation requirements necessary to establish eligibility for a particular VAT treatment.
• Where zero-rating cannot legally be applied, the applicable VAT will be charged.
• PAYMENT
• The Buyer must pay the full amount due within the payment period specified by Boleybawn Horses following the close of the Auction.
• Payment instructions will be provided to the successful Buyer following the Auction.
• Ownership and/or collection arrangements will not be completed until all sums due have been received in cleared funds, unless otherwise agreed in writing by Boleybawn Horses.
• Any bank charges, transfer costs or other costs associated with payment are the responsibility of the Buyer.
• FOALS — DELIVERY AT WEANING
• Boleybawn Horses/Sellers undertake to hand over purchased foals at the weaning stage, being approximately five months of age or older, in good condition.
• The precise timing of handover will depend on the individual foal, its welfare and development, and the arrangements agreed between the Seller and Buyer.
• The Buyer acknowledges that a young foal is a living animal and that its condition, development and appearance may naturally change between the Auction and handover.
• Unless expressly agreed otherwise in writing, transport, insurance and other costs arising after the agreed handover are the responsibility of the Buyer.
• IMPLANTED EMBRYOS — SURROGATE MARES
• Implanted Embryo Lots will be made available for collection at either Bowe, Tinahely, County Wicklow, Ireland, or Saint-Lorenz, Belgium, according to the Buyer’s preference and the arrangements agreed with Boleybawn Horses.
• In respect of each purchased Implanted Embryo, the Buyer must lodge a deposit of €2,500 plus applicable VAT.
• The deposit is held as security for the return of the surrogate mare and her passport.
• The €2,500 deposit will be returned in full when the Buyer returns the surrogate mare to Boleybawn, Tinahely, County Wicklow, Ireland, or Saint-Lorenz, Belgium, as applicable, in good condition and together with the mare’s passport.
• The Buyer is responsible for ensuring the surrogate mare is returned safely and in good condition and that the passport is returned with the mare.
• The Buyer must not sell, transfer, lease, export, rehome, or otherwise dispose of the surrogate mare without the prior written consent of Boleybawn Horses.
• Any damage, loss, deterioration or other cost attributable to the Buyer’s failure to return the surrogate mare in the required condition may be deducted from the deposit, subject to applicable law and reasonable assessment of the resulting cost.
• The Buyer is responsible for agreed transport and associated costs relating to the collection and return of the surrogate mare unless otherwise agreed in writing.
• HEALTH, WELFARE AND VETERINARY MATTERS
• The welfare of all animals is a priority. Buyers are expected to make appropriate arrangements for the care, transport and insurance of animals purchased through the Auction.
• Lot descriptions and veterinary information are provided in good faith based on information available to the Seller at the time of publication.
• Buyers should satisfy themselves as to the suitability of a Lot for their intended purpose and are encouraged to obtain independent veterinary or professional advice before bidding where appropriate.
• All foals offered for sale through the Auction are sold “as they stand” and are open to inspection by prospective Buyers, by prior arrangement, with the relevant breeder/Seller before the Buyer places a bid.
• Prospective Buyers are strongly advised to inspect any Lot in person before bidding and to satisfy themselves fully as to the foal’s condition, conformation, temperament, breeding, development and suitability for their intended purpose.
• Where a prospective Buyer wishes to have a veterinary examination carried out, this should be arranged by the Buyer, at the Buyer’s own instruction and expense, with a veterinary surgeon of the Buyer’s own choice, before the Buyer places a bid.
• The Buyer acknowledges that they have the opportunity to inspect the Lot and, where desired, obtain an independent veterinary examination before bidding. By placing a bid, the Buyer confirms that they have either inspected the Lot and/or had a reasonable opportunity to do so and have satisfied themselves as to its condition and suitability.
• Neither Boleybawn Horses nor the Seller shall be responsible for any matter which could reasonably have been identified through an inspection or veterinary examination carried out before the Buyer placed a bid, subject always to any rights or liabilities that cannot lawfully be excluded under applicable law.
• Failure by a prospective Buyer to inspect a Lot or obtain an independent veterinary examination before bidding shall not, in itself, entitle the Buyer to withdraw a bid or cancel the purchase after the Auction has closed.

• PEDIGREE AND LOT INFORMATION
• Pedigree, breeding, performance and other Lot information is provided for the purpose of describing the Lot and is based on information available to Boleybawn Horses and/or the Seller.
• Buyers should review all available documentation and make their own enquiries before bidding.
• Boleybawn Horses will not be responsible for changes in circumstances occurring after publication where such changes are outside its reasonable control, subject always to any mandatory rights available to the Buyer under applicable law.
• RISK, INSURANCE AND TRANSPORT
• The Buyer should arrange appropriate insurance for purchased animals from the point at which risk passes to the Buyer.
• Unless otherwise agreed in writing, transport from the agreed handover or collection point is the responsibility of the Buyer.
• The Buyer is responsible for ensuring that any transport arrangements comply with all applicable animal welfare, veterinary, identification and transport requirements.
• DEFAULT BY THE BUYER
• If a Buyer fails to complete payment or otherwise fails to complete the purchase, Boleybawn Horses may, subject to applicable law, cancel the sale and/or pursue any other remedy available to it.
• Any reasonable costs arising from a Buyer’s default may be recoverable from the Buyer where permitted by law.
• LIMITATION OF LIABILITY
• Nothing in these Terms & Conditions excludes or limits any liability which cannot lawfully be excluded or limited.
• Subject to the foregoing, Boleybawn Horses/Sellers shall not be responsible for indirect or consequential loss arising after the transfer of risk to the Buyer, except where such exclusion is not permitted by applicable law.
• FORCE MAJEURE
• Boleybawn Horses shall not be liable for delay or failure to perform an obligation where such delay or failure results from circumstances beyond its reasonable control, including but not limited to disease outbreaks, government restrictions, transport disruption, severe weather, fire, natural disaster, war, industrial action, technical failure or other circumstances affecting the operation of the Auction or the safe movement of animals.
• GOVERNING LAW
• These Terms & Conditions and any dispute arising from or in connection with the Auction or a Lot shall be governed by the laws of Ireland, subject to any mandatory rights or protections that apply to the Buyer under applicable law.
• ACCEPTANCE OF TERMS
• By registering for the Auction or placing a bid, the bidder confirms that they have had an opportunity to read these Terms & Conditions and agrees to be bound by them.
• The Auction platform may contain additional instructions or rules relating to registration, bidding and payment. Those instructions form part of the Auction terms where applicable.
